Agreement made by and among Lawrence Kirsch, doing business as Lawrence Kirsch Communications, having a place of business in Montreal, Quebec, (hereinafter referred to as the "Author"), and you (hereinafter referred to as "Contributor"), for the contribution of photographs, images, stories, anecdotes, written materials or any other type of material, the whole in whatever media or format (hereinafter "the Contribution") which will potentially be included in the work provisionally entitled "For You" on Bruce Springsteen to be written by the Author (hereinafter referred to as "the Work");

1. GRANT OF RIGHTS
Subject to credit being given to the Contributor by the Author within the Work, the Contributor hereby grants to the Author, for the full duration of all applicable copyright, the sole and exclusive right to print, publish and sell the Contribution in book or other written form, in whole or in part, and to use the Contribution in any publicity, promotional material, advertising or marketing in relation to the Work in any form or media now known or heretofore unknown, throughout the world in all languages, and to license others to do the same and the exclusive right to register copyright thereof in the name of the Author upon first publication of the Work. The Author makes no warranty or representation that the Contribution will be used in the Work. The Contributor hereby agrees and recognizes that the Contributor shall have no right (including without limitation copyright), title or interest in or to the Work and hereby assigns and will assign to the Author all rights, title and interest that may accrue to him as a result of the Contribution. All rights granted in this agreement may be sublicensed to others. The size, form and place within the Work of credit to be given to Contributor shall be at the discretion of the Author.
2. PHOTOGRAPHIC CONTRIBUTION
In the case of a photographic Contribution (the "Photographic Material"), the Contributor agrees to deliver to the Author the original negatives, slides, scans, or photographs of the Photographic Material by mail, email or on CD disk. The Author undertakes to store, handle and package for mail the Photographic Material with the same degree of diligence and care as he uses for the storage, handling and mailing of his own photographic materials. The Author shall use his best efforts to return the original Photographic Materials to the Contributor by mail within sixty (60) days of receipt of the Photographic Material.
3. MODIFICATIONS
The Contributor acknowledges and accepts that the Author shall have the right to alter, modify and rearrange the Contribution, including, without limitation, the right to paraphrase, edit, rewrite, or otherwise make use of the Contribution.
4. WARRANTY AND INDEMNITY
The Contributor represents and warrants to the Author that he is the sole owner of all the intellectual property rights, including, without limitation, the copyright, to the Contribution; that the Contribution is original and does not infringe upon any statutory copyright or upon any common law rights, proprietary rights, personality rights, privacy rights or any other right whatsoever; and that he has full power to enter into this Agreement and make the grant contained herein. The Contributor shall indemnify the Author and any licensee thereof for any loss, expense or damage occasioned by any claim, demand or suit arising out of any breach or alleged breach of the foregoing warranties.
5. REVISIONS
The Contributor acknowledges that rights granted to the Author herein include the right to prepare and publish any number of revisions and/or translations of the Work at any time as the Author deems advisable.
6. NAME AND LIKENESS
The Contributor agrees that the Author shall have the right to use Contributor's name, voice, image, likeness and/or biographical data and to describe and portray, in whole or in part, the Contributor and/or any episodes or biographical history of the Contributor's life in the Work and in any advertising and promotion in relation thereto.
7. SUCCESSORS AND ASSIGNS
This Agreement shall be binding upon and inure to the benefit of the executors, administrators, heirs and assigns of the Contributor and successors and assigns of the Author. The Author may assign this Agreement in whole or in part to a company he controls, to his complete personal exoneration.
8. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding of the parties in relation to the subject matter hereof. It is mutually understood and agreed that the Author shall be under no obligation to the Contributor for the Contribution except as specifically stated herein. No change or modification of this agreement shall be valid unless in writing signed by all parties hereto.
9. GOVERNING LAW
This Agreement shall be interpreted according to the laws of the province of Quebec and the laws of Canada applicable therein. Any legal proceedings between the parties hereto shall be commenced only in the applicable court of the judicial district of Montreal, Province of Quebec, Canada, to the complete exclusion of all other courts.
